Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern access to and use of the Hubseat Cloud managed platform (the “Service”), including the web console, APIs, managed data engines, application workloads, and related tools operated by Hubseat (“we”, “us”). By creating a workspace, accessing the Service, or clicking to accept, you agree to these Terms on behalf of yourself or the organization you represent (“Customer”, “you”).

2. The Service

Hubseat Cloud provides a control plane to organize delivery in workspaces, projects, and environments. Depending on your subscription, the Service may include: • Container-based application services and deployments. • Managed data engines such as PostgreSQL, MariaDB, Redis, OpenSearch, Kafka, NATS, CouchDB, and ClickHouse. • Credential and access management integrated with Authsense. • Operational visibility for deployments, pipelines, and service health. • Optional secure local access via Hubseat Desktop (authenticated TCP proxy to your service containers). Features, regions, quotas, and supported engines may vary by plan. We may add, change, or retire features with reasonable notice when practical.

3. Accounts, access, and authentication

You must provide accurate registration information and maintain the confidentiality of credentials. Access is enforced through role-based permissions scoped to workspaces and projects. You are responsible for all activity under your accounts, including actions by employees, contractors, and API tokens you issue. You must promptly revoke access for users who leave your organization and rotate credentials when compromise is suspected.

4. Customer data and intellectual property

You retain ownership of data, content, and materials you submit to the Service (“Customer Data”). You grant Hubseat a limited license to host, process, transmit, and display Customer Data solely to provide, secure, and improve the Service. We do not use Customer Data to train public models. Aggregated or de-identified operational metrics may be used to improve reliability and performance of the platform.

5. Shared responsibility

Security and compliance are shared. Hubseat is responsible for the security of the platform layer we operate. You are responsible for: • Classifying Customer Data and meeting regulatory obligations for your industry. • Configuring access controls, network exposure, and least-privilege roles. • Application code, schema design, backups, and restore testing where not expressly included in your plan. • Content transmitted through integrations you enable. Managed engines are operated by Hubseat, but configuration choices (users, databases, exposed ports, secrets) remain your responsibility.

6. Acceptable use

You must not use the Service to: a) Violate applicable law or third-party rights. b) Send malware, conduct unauthorized intrusion, or attack other tenants or the internet. c) Mine cryptocurrency or consume resources in a way that degrades the platform for others. d) Store or process unlawful content where you lack a lawful basis. e) Attempt to bypass quotas, authentication, or isolation controls. We may investigate abuse and suspend or restrict access that threatens the Service or other customers.

7. Availability, maintenance, and support

We target high availability for production regions and may perform scheduled maintenance with advance notice when reasonable. Emergency maintenance may occur without prior notice to protect security or stability. Unless a separate signed agreement states otherwise, the Service is not guaranteed uninterrupted or error-free. Support channels and response targets depend on your subscription tier.

8. Fees and trial use

Paid plans, metering, and invoicing terms are described in your order form or checkout flow. You are responsible for usage within subscribed limits. We may suspend the Service for overdue amounts after notice, except where prohibited by law.

9. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for material breach, non-payment, or risk to the platform. Upon termination, we will make Customer Data available for export during a reasonable period unless law or security requires earlier deletion.

10. Disclaimers and limitation of liability

To the maximum extent permitted by law, the Service is provided “as available”. Except where prohibited, Hubseat disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the extent permitted by law, Hubseat’s aggregate liability arising from the Service is limited to the fees paid by you for the Service in the twelve (12) months before the event giving rise to the claim. Neither party is liable for indirect, incidental, or consequential damages.

11. Changes

We may update these Terms. Material changes will be communicated through the console, email, or release notes. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
